Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CertAlert platform (“Service”), operated by CertAlert (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of an organisation, you represent that you have the authority to do so.
1. The Service
CertAlert is a software-as-a-service (SaaS) platform that enables training companies (“Training Providers”) to manage course scheduling, learner enrolments, certification records, and automated expiry notifications. Client organisations and their employees (“Learners”) access the platform through accounts created by their Training Provider.
2. Accounts and Access
You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@cert-alert.ie if you suspect any unauthorised access.
You must be at least 18 years old and capable of entering into a binding contract to use the Service. The Service is intended for business use only and is not directed at consumers.
3. Your Responsibilities
You agree that you will not:
- Use the Service for any unlawful purpose or in violation of any applicable regulation;
- Upload or transmit any material that is false, misleading, defamatory, or infringes any third-party rights;
- Attempt to gain unauthorised access to any part of the Service or its underlying infrastructure;
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service;
- Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent;
- Use automated means (bots, scrapers, crawlers) to access the Service in a manner that places excessive load on our infrastructure.
You are solely responsible for the accuracy of certification records, attendance data, and any other content you enter into the platform. CertAlert does not verify the authenticity of certificates issued through the platform.
4. Data and Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
As a Training Provider, you are the data controller for personal data relating to your clients and learners. CertAlert acts as a data processor in respect of that data. You are responsible for ensuring that you have a valid legal basis for processing personal data and for providing appropriate privacy notices to the individuals whose data you enter into the platform.
5. Service Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may suspend access temporarily for maintenance, security updates, or circumstances beyond our reasonable control. We will endeavour to provide advance notice of planned maintenance where possible.
6. Subscription and Payment
Access to the full features of the Service may require a paid subscription. Subscription fees, billing cycles, and payment terms are presented at the point of purchase. All fees are exclusive of VAT, which will be added at the applicable rate. Fees are non-refundable except as required by law or as expressly stated in these Terms.
We reserve the right to modify our fees on reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new fees.
7. Intellectual Property
All intellectual property rights in the Service (including software, design, trademarks, and documentation) belong to CertAlert or our licensors. These Terms do not grant you any rights in those materials other than the limited licence to use the Service for its intended purpose.
You retain ownership of all data and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive licence to host, process, and display that content solely for the purpose of providing the Service to you.
8. Termination
You may close your account at any time by contacting us at hello@cert-alert.ie. We may suspend or terminate your access if you breach these Terms, if your subscription lapses and is not renewed, or where we determine (in our reasonable discretion) that continued access would pose a security or legal risk.
On termination, we will retain your data for up to 30 days to allow you to export it, after which it will be deleted in accordance with our data retention policy.
9. Disclaimer and Limitation of Liability
The Service is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the Service will meet your specific requirements or that it will be free from errors.
To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you to us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under Irish law.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the Republic of Ireland. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.
